Agent and Distribution Agreements – setting the boundaries

Sara Ludlam, Senior Associate, Intellectual Property and Commercial Law specialist

Lupton Fawcett Denison Till

When looking to expand your business, is it best to set up a relationship with an agent or a distributor and what is the difference in legal and practical terms?

Sara will discuss the pros and cons when setting up relationships with intermediaries and the implications involved. For example, who has control over price and other terms of sale, who dictates choice of customer and who takes control of marketing? Importantly, what happens when relationships with agents and distributors come to an end in terms of commission and compensation, either because you wish to dispense with their services or because of retirement.

About Sara Ludlam

Sara is a qualified Intellectual Property solicitor and trained at a niche IP and litigation law firm in London. She has worked as in-house counsel for brands including Lacoste, Lonsdale London, Speedo, Berghaus and Kickers and as a result has broad experience of licensing IP rights internationally and other non-contentious IP matters including drafting terms and conditions of purchase and supply; agency agreements, manufacturing and distribution agreements, data protection and database issues, managing international trade mark portfolios and due diligence in relation to acquisitions and disposals.
